Re-Domicilation explained

United Kingdom

A direct redomiciliation of a United Kingdom company to Hong Kong is not legally possible, primarily because UK company law does not currently provide a mechanism for outward redomiciliation.

Companies seeking to relocate their corporate seat to Hong Kong must instead utilize alternative legal structures, such as incorporating a new Hong Kong entity followed by a formal asset transfer, or establishing a Hong Kong holding company to acquire the existing UK shares through a group restructuring. These methods ensure operational presence in the Hong Kong market while navigating the current statutory limitations on cross-border continuation from the UK.
